Terms of Use

Purpose and acceptance

These Terms of Use (the "Terms") govern access to and use of the website www.nutrisurco.com (the "Site"), owned by ALOPROT S.A. de C.V., trading as NUTRISURCO® (the "Data Controller" or "Nutrisurco"), as well as all content, technical materials, trademarks, and agronomic advisory services offered through it.

Access, browsing, or use of the Site by any person (the "User") implies full, express, and unconditional acceptance of these Terms in the version published at the time of access. If the User does not agree with any of the conditions set forth herein, they must refrain from using the Site.

These Terms are complemented by the Data Controller's Integral Privacy Notice, which specifically governs the processing of personal data, and by any particular terms applicable to products, quotes, or distribution agreements that may be agreed separately with the User.

Definitions

• Site: the website accessible at www.nutrisurco.com and its subdomains, including all of its content, functionalities, and downloadable materials.
• User: any individual or legal entity that accesses, browses, or uses the Site, regardless of whether they register through any form.
• Content: texts, images, photographs, illustrations, graphics, logos, trademarks, technical data sheets, safety data sheets, agronomic application protocols, videos, and other materials published on the Site.
• Products: the bioinputs and biological inoculants marketed by the Data Controller, prominently including ALOMYXA®.
• Services: agronomic technical advisory services, the preparation of personalized application protocols, and other support services offered by the Data Controller through the Site or in person in the field.

Access and registration conditions

A. General access

Access to the Site is free of charge for Users, without prejudice to the fact that the purchase of Products or Services may require the provision of additional data and compliance with specific commercial conditions, agreed separately.

B. Accuracy of information

A User who completes contact forms, requests technical advisory services, or downloads materials undertakes to provide truthful, accurate, and up-to-date information. The Data Controller assumes no liability for the consequences arising from inaccurate, false, or omitted data provided by the User.

C. Legal capacity

The Site is not directed at persons under eighteen (18) years of age. By using the Site, the User represents that they have the legal capacity necessary to be bound by these Terms, or that they are acting on behalf of a legal entity with sufficient authority to do so.

D. Site availability

The Data Controller will endeavor to keep the Site available on a continuous basis, without this constituting a guarantee of uninterrupted availability. The Data Controller may suspend, interrupt, or limit access to the Site, in whole or in part, for reasons of maintenance, security, content updates, or force majeure, without this giving rise to any right to compensation in favor of the User.

Intellectual property

A. Ownership

All intellectual and industrial property rights over the Site and its Content —including, without limitation, the NUTRISURCO® and ALOMYXA® trademarks, logos, design, structure, texts, technical data sheets, application protocols, and other materials— are owned by ALOPROT S.A. de C.V. or by third parties who have expressly authorized their use, and are protected under Mexican and international intellectual property law, including the international treaties to which Mexico is a party.

B. Limited license to use

The Data Controller grants the User a limited, non-exclusive, non-transferable, and revocable license to access and view the Site's Content exclusively for informational and personal purposes related to their agricultural activity, with any other form of exploitation expressly prohibited.

C. Prohibited uses of the Content

The following are expressly prohibited, except with the Data Controller's prior written authorization:

• Reproducing, distributing, publicly communicating, transforming, or making available to third parties, in whole or in part, the Site's Content for commercial purposes
• Using the NUTRISURCO® or ALOMYXA® trademarks, or any other distinctive sign of the Data Controller, without express authorization
• Extracting, through automated or manual tools, technical data sheets, application protocols, price lists, or any other structured content from the Site (scraping)
• Removing, altering, or concealing copyright notices, trademark notices, or other ownership notices included in the Content
• Reverse-engineering, decompiling, or disassembling any software element of the Site

D. Downloadable materials

Technical data sheets, safety data sheets, and crop-specific application protocols available for download are provided exclusively for the User's use in their agronomic activity. Their reproduction or distribution to third parties for purposes other than individual technical use requires the Data Controller's prior authorization.

Permitted use and prohibited conduct

The User undertakes to use the Site in accordance with the law, morality, public order, and these Terms, refraining from using it for unlawful purposes or purposes that could harm the rights and interests of third parties, or that could damage, disable, overload, or impair the Site or prevent its normal use.

In particular, and without the following list being exhaustive, the User agrees not to:

• Introduce or spread computer viruses, malware, or any other harmful code or software capable of causing alterations to the systems of the Data Controller or third parties
• Attempt to access restricted areas of the Site, its computer systems, or those of third parties, by circumventing the security measures implemented
• Impersonate another User, an employee of the Data Controller, or any third party
• Use the contact form or other Site channels to send unsolicited, advertising, or fraudulent communications (spam)
• Engage in any action that places a disproportionate or unjustified burden on the Site's infrastructure
• Use Content or data obtained through the Site to develop products, services, or materials that directly compete with those of the Data Controller

Failure to comply with this Section entitles the Data Controller to suspend or cancel the User's access to the Site, without prejudice to any legal action that may be applicable under the applicable law.

User-contributed content

If the Site enables mechanisms for the User to contribute information, comments, testimonials, or any other content (the "User Content"), the following conditions shall apply:

• The User warrants that any User Content they contribute is truthful, does not infringe third-party intellectual property rights, and is not contrary to law, morality, or public order
• The User grants the Data Controller a free, non-exclusive, worldwide license to reproduce, display, and use the User Content in the Data Controller's communication, commercial, or advertising materials, exclusively when such use has been expressly authorized by the User in accordance with the procedure described in the Integral Privacy Notice
• The Data Controller reserves the right to remove, without prior notice, any User Content it considers contrary to these Terms, the law, or the legitimate interests of the Data Controller or third parties

Links to third-party sites

The Site may contain links to third-party websites, including social media, messaging platforms, and external resources of a technical or regulatory nature. The inclusion of such links is for informational purposes only and does not imply any relationship, recommendation, supervision, or endorsement by the Data Controller of the content, products, or services offered on such sites.

The Data Controller assumes no liability for the content, availability, privacy policies, or practices of third-party websites linked from the Site. Access to such sites by the User is at the User's own risk.

Limitation of liability and warranties

A. Informational nature of the Content

The Content published on the Site, including agronomic application protocols, is of an indicative and general nature. Specific dosage and management recommendations must be validated through the Data Controller's direct technical advisory services, taking into account the particular conditions of each property, crop, and region. The Data Controller does not guarantee specific results arising from the application of its Products without proper personalized technical advisory.

B. Exclusion of warranties regarding Site operation

The Data Controller does not guarantee the availability, continuity, infallibility, or absence of errors in the Site's operation, nor its usefulness for any specific activity other than providing information, without prejudice to the reasonable efforts it makes to keep the Site operating correctly.

C. Limitation of liability

To the fullest extent permitted by applicable law, the Data Controller shall not be liable for direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the Site, except in cases of willful misconduct or gross negligence directly attributable to the Data Controller, and without prejudice to the non-waivable rights afforded to the User under the consumer protection law of their jurisdiction.

D. Products and technical advisory services

The purchase of Products and the engagement of technical advisory Services are governed by the specific commercial conditions agreed between the Data Controller and the customer, which shall prevail over these Terms to the extent applicable to that commercial relationship.

Governing law and jurisdiction

These Terms are governed by the laws of the United Mexican States. For the resolution of any dispute arising from the interpretation, performance, or execution of these Terms, the parties submit to the jurisdiction of the competent courts of the city of Aguascalientes, Aguascalientes, Mexico, expressly waiving any other venue that might otherwise correspond to them by reason of their present or future domicile.

The foregoing is without prejudice to the non-waivable rights that the consumer protection legislation of the User's jurisdiction of residence imperatively grants them, which shall prevail where such legislation so requires.

Amendments, term, and contact

The Data Controller reserves the right to amend these Terms at any time, to adapt them to legislative, regulatory, technological, or business changes. Substantial amendments will be communicated through a prominent notice on the Site at least thirty (30) calendar days before they take effect.

Continued use of the Site after the effective date of an amendment constitutes acceptance of the new version of the Terms. If the User does not agree with the amendment, they must refrain from continuing to use the Site.
